These Terms and Conditions (these "Terms") apply to access and use of the website, www.bylondon.com (the "Website"), operated by BYLONDON ("Company", "we", "us", or "BYLONDON"), and together with any online content, tools, features and functionality offered on or through our Website (the "Services").
These Terms govern your access to and use of the Services, including any purchases you make through the Services. Please read these Terms carefully, as they include important information about your legal rights. By accessing and/or using the Services, you are agreeing to these Terms. If you do not understand or agree to these Terms, please do not use the Services.
For purposes of these Terms, "you" and "your" means you as the user of the Services. If you use the Services on behalf of a company or other entity then "you" includes you and that entity, and you represent and warrant that (a) you are an authorized representative of the entity with the authority to bind the entity to these Terms, and (b) you agree to these Terms on the entity's behalf.

1. WHO MAY USE THE SERVICES
You must be 18 years of age or older to make purchases through the Services. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.
2. USER ACCOUNTS
2.1. Creating and Safeguarding Your Account. To use certain Services, you may create an account ("Account"). You agree to provide us with accurate, complete and updated information for your Account. You are solely responsible for any activity on your Account and for maintaining the confidentiality and security of your password. We are not liable for any acts or omissions by you in connection with your Account. You must immediately notify us at [email protected] if you know or have any reason to suspect that your Account or password have been compromised or in case of any actual or suspected unauthorized use of your Account.
3. ORDERS FOR PRODUCTS AND SERVICES
3.1. Limited Collection Releases. BYLONDON releases limited collections of denim pieces through timed drops on the Website. All collection pieces are produced in limited quantities and sold on a first-come, first-served basis during designated release windows (typically 24-48 hours). Once a release window closes, products are no longer available for purchase.
3.2. Custom Commission Inquiries. The Services allow you to submit inquiries for custom 1-of-1 commission work. Submission of a commission inquiry does not guarantee acceptance. All custom commissions are subject to consultation, availability, and mutual agreement on design, timeline, and pricing. Custom commission pricing starts at $1,500 and varies based on design complexity, materials, and timeline requirements.
3.3. Payment. You acknowledge and agree that all information you provide with regards to a purchase, including credit card or other payment information, is accurate, current and complete. You represent and warrant that you have the legal right to use the payment method you provide. When you purchase products, you (a) agree to pay the price for such products as set forth on the Website, plus all applicable shipping, handling, and taxes (the "Full Purchase Amount"), and (b) authorize us to charge your payment method for the Full Purchase Amount. All currency references are in U.S. Dollars unless otherwise noted. Orders will not be processed until payment has been received in full.
3.4. Payment Timeline. For limited collection releases, full payment is required at time of purchase. For custom commissions, payment structure will be communicated during the consultation process and typically includes: (a) consultation fee and initial deposit (50% of total), (b) production milestone payment (30% of total), and (c) final payment before delivery (20% of total).
3.5. Product Information. We strive for accuracy in our product descriptions and imagery. However, we do not warrant that product descriptions are accurate, complete, reliable, current, or error-free. The particular settings of your viewing device may affect the display of products and their colors. Measurements provided are approximate and for reference only. If a product is not as described, your sole remedy is to return it unused in accordance with our return policy.
3.6. Product Availability. Due to the limited nature of our releases, products displayed as available may become unavailable due to high demand or inventory updates. We reserve the right to limit quantities, refuse orders, or discontinue products at any time without notice.
3.7. Pricing Changes. BYLONDON may revise pricing, availability, specifications, or features at any time. We reserve the right to correct pricing errors and to cancel orders affected by such errors in our sole discretion. All pricing changes are effective immediately upon posting.
3.8. Order Acceptance and Shipment. Your receipt of an order confirmation does not signify our acceptance of your order. We reserve the right to accept or decline any order for any reason. If we cancel an order after billing, we will refund the charged amount. Title and risk of loss pass to you upon delivery to carrier. Orders typically ship within 3-5 business days of purchase. We reserve the right to ship partial orders at no additional cost. All shipments include tracking information.
3.9. Return and Exchange Policy.
Limited Collection Pieces: All sales of limited collection pieces are final. No returns, refunds, or exchanges are accepted except for defective products or errors in fulfillment. Claims for defective products must be made within 7 days of delivery with photographic evidence.
Custom Commission Pieces: All custom 1-of-1 commission pieces are final sale. No returns, refunds, or exchanges. Consultation fees and deposits are non-refundable once work has commenced.
Defective Products: If you receive a defective product, contact us at [email protected] within 7 days of delivery. We will repair, replace, or refund defective products at our discretion.

5. RIGHTS WE GRANT YOU
5.1. License Grant. Subject to your compliance with these Terms, BYLONDON grants you a personal, worldwide, royalty-free, non-assignable, non-sublicensable, non-transferrable, and non-exclusive license to access and use the Services. This license enables you to use the Services as provided by us and in the manner permitted by these Terms.
5.2. Restrictions on Use. You may not:
(a) Download, modify, copy, distribute, transmit, display, reproduce, duplicate, publish, license, create derivative works from, or offer for sale any information from the Services without our written permission;
(b) Duplicate, decompile, reverse engineer, disassemble or decode the Services;
(c) Use, reproduce or remove any copyright, trademark, service mark, trade name, logo, or other proprietary notation displayed on the Services;
(d) Use automation software (bots), hacks, modifications, or any unauthorized third-party software designed to gain unfair advantage in purchasing products;
(e) Use the Services for commercial purposes, including communicating or facilitating commercial advertisements;
(f) Access or use the Services in any manner that could disable, overburden, damage, disrupt or impair the Services or interfere with any other party's access;
(g) Attempt to gain unauthorized access to the Services, other user accounts, or connected computer systems or networks;
(h) Circumvent, remove, alter, deactivate, degrade or thwart any technological measures or content protections;
(i) Use any robot, spider, crawler, or other automatic process to monitor, extract, copy or collect information from the Services;
(j) Introduce any viruses, malware, or other technologically harmful materials;
(k) Use the Services for illegal, harassing, unethical, or disruptive purposes;
(l) Violate any applicable law or regulation; or
(m) Access or use the Services in any way not expressly permitted by these Terms.

6.1. Ownership of Services. The Services, including their "look and feel" (e.g., text, graphics, images, logos), proprietary content, and materials, are protected under copyright, trademark and other intellectual property laws. You agree that BYLONDON and/or its licensors own all right, title and interest in and to the Services and you agree not to take any action inconsistent with such ownership. We reserve all rights in connection with the Services and its content.
6.2. Ownership of Trademarks. BYLONDON's name, logo and all related names, logos, product and service names, designs and slogans are trademarks of BYLONDON. You may not use these marks without our prior written permission.
6.3. Customer Content and Feedback. If you submit photos, reviews, feedback, comments or suggestions ("Customer Content"), you grant BYLONDON a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, publish, and distribute such Customer Content for any purpose, including marketing and promotional purposes. You represent that you own or have the necessary rights to grant this license.
7. THIRD PARTY SERVICES
The Services may display, include or make available content from third parties ("Third Party Materials") or provide links to third-party websites. BYLONDON is not responsible for examining or evaluating the content, accuracy, completeness, or legality of such Third Party Materials or websites. We do not warrant or endorse and will not have any liability for any third-party services, materials or websites. Third Party Materials and links are provided solely as a convenience.
8. DISCLAIMERS AND LIMITATIONS OF LIABILITY
8.1. Disclaimers. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
BYLONDON MAKES NO WARRANTY OR REPRESENTATION REGARDING: (A) THE COMPLETENESS, ACCURACY, AVAILABILITY, TIMELINESS, SECURITY OR RELIABILITY OF THE SERVICES; (B) ANY HARM TO YOUR COMPUTER SYSTEM, LOSS OF DATA, OR OTHER HARM RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICES; (C) WHETHER THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE OR ERROR-FREE BASIS; OR (D) THE AVAILABILITY OF ANY PRODUCTS DURING TIMED RELEASES.
8.2. Limitations of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BYLONDON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR CONTENT.
BYLONDON'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID BYLONDON IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.
8.3. Indemnification. You agree to defend, indemnify and hold BYLONDON harmless from any claims, damages, losses, liabilities and expenses (including attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your violation of any rights of any third party; (c) your access to or use of the Services; or (d) your negligence or willful misconduct.
9. DISPUTE RESOLUTION
9.1. Informal Resolution. In the event of any dispute, you agree to first contact BYLONDON at [email protected] and make a good faith effort to resolve the dispute informally before pursuing formal legal action.
9.2. Governing Law and Venue. These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction in these courts.
9.3. Limitation on Claims. Any claim relating to the Services must be brought within one (1) year after the claim arises, or such claim will be permanently barred.
10. ADDITIONAL PROVISIONS
10.1. Email Communications. By creating an account or making a purchase, you consent to receive emails from BYLONDON regarding your orders, account, and promotional content about releases and products. You may opt out of promotional emails by using the unsubscribe link in any email or contacting us at [email protected].
10.2. Modifications to Terms. BYLONDON may modify these Terms at any time. We will update the "Last Revised" date and use reasonable efforts to notify you of material changes via email or prominent notice on the Website. Your continued use of the Services after modifications become effective constitutes acceptance of the modified Terms.
10.3. Termination. BYLONDON may suspend, disable, or terminate your Account or access to the Services at any time, with or without notice, for any or no reason. If BYLONDON terminates your Account for breach of these Terms, you are prohibited from creating a new account. All sections which by their nature should survive termination shall continue in full force and effect.
10.4. Severability. If any provision of these Terms is found to be unlawful, void or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.
10.5. Assignment. These Terms may be assigned by BYLONDON but may not be assigned by you without our prior written consent.
10.6. Entire Agreement. These Terms constitute the entire agreement between you and BYLONDON regarding the Services and supersede all prior agreements and understandings.
10.7. No Waiver. No waiver by BYLONDON of any breach or default shall be deemed a waiver of any preceding or subsequent breach or default.
